Capital Structure
The CR-1 Mini-Maxi raise, debt-retirement mechanics, $5 million waterfall and cumulative operational tranches.

The Mini-Maxi framework
Capital moves only when the minimum works.
CR-1 is structured with a $1.2 million mandatory minimum and a $5 million hard ceiling. The minimum is calibrated to retire the existing mortgage. Until that threshold is reached, no investor capital is deployed and no fees accrue.
If the Mini is not met, investor capital is returned. If it is met, the closing plan moves first through debt retirement, then through the additional uses authorized by the final offering and closing documents.
Removing lender-side risk is central to the capital-preservation thesis. A debt-free property is intended to eliminate mortgage covenants, refinancing exposure and property-level interest-rate volatility while supporting a more durable income profile. It does not make the investment risk-free, guarantee yield or eliminate sensitivity to operating and market conditions.
Debt-retirement sequence
From leveraged property to a free-and-clear estate.
The contemplated structure is designed to remove lender covenants, refinancing exposure and mortgage-related foreclosure risk from the property capital stack. The investor security position is intended to be senior to non-statutory claims through the executed security structure; exact collateral, lien priority, exceptions, enforcement rights and investor economics exist only in the definitive documents.
Accredited-investor capital is raised through the CR-1 offering.
At a qualifying closing, capital is wired directly to the lender to retire the mortgage in full.
The property is intended to be held free and clear by the Series LLC.
Debt service estimated at 20–30% of gross income becomes available within the operating and distribution framework.
The $5M raise waterfall
Four defined uses.
The maximum raise is partitioned to eliminate existing encumbrances, consolidate ownership and fund the infrastructure required for the year-round estate strategy.
Debt payoff
The Mini. Retires the existing mortgage and redirects debt service into the operating and distribution framework.
Ownership consolidation
Consolidates 100% ownership and clears the historical equity tiers in the CR-1 plan.
Infrastructure
Supports the first 10 tiny homes, the ELD course and preparation for the second development phase.
Fees & legal
Combined allocation for closing, legal, administration and related execution costs.
Cumulative deployment
What each capital level is intended to unlock.
Each milestone advances a defined part of the plan. Construction, revenue and distribution outcomes remain subject to final documentation and execution.
