Governance, security and compliance

How the structure is designed.

Rule 506(c)

Participation is limited to accredited investors. Every purchaser must be accredited, and the issuer must take reasonable steps—including third-party verification—to verify that status before capital commitment.

Escrow and “The Seal”

Capital remains in escrow and is not deployed until the $1.2 million Mini is confirmed. If the minimum is not met, the Seal remains unbroken: no capital is deployed, no fees are taken and investor funds are returned.

UCC-1 framework

A UCC-1 filing is part of the intended institutional security framework and creates a public record of the asserted investor interest. Exact collateral, lien priority, enforcement rights and exceptions exist only if established by executed documents.

Independent Advisory Board

The IAB is intended to align operational decisions with investor interests and provide independent oversight of management decisions. Its membership, authority, voting rights, conflicts process and fiduciary duties are established by the final governing documents.

Debt-free closing objective

At a qualifying closing, the plan directs capital to retire the existing mortgage and remove mortgage-related foreclosure and refinancing risk. This protection does not eliminate development, operating, market or investment risk.

Development risks

Construction timing, material inflation, permitting, insurance and execution can affect the development plan, costs and timing.

Market and investment risks

Hospitality demand, luxury spending, liquidity, operating performance and other factors can affect results. Investors may lose some or all of their principal.

Investor reporting

The intended framework includes property-level operating updates, development milestones and distribution reporting so CR-1 performance remains connected to the identified asset.

Investor process

From public review to a documented closing.

01

Review

Read the CR-1 investment analysis and public investor book.

02

Verification

Submit accreditation credentials through the designated secure process. Third-party accredited-investor verification is required before participation.

03

Subscription

Review and execute the controlling Series LLC and subscription documents.

04

Funding

Capital remains in escrow while the $1.2M minimum condition is unsatisfied.

05

Closing

If all conditions are met, capital is wired to the lender, the existing mortgage is retired and the operating and distribution cycle begins. Any distributions are made pro rata only as provided by the definitive documents and actual operating results.

Institutional questions

The structure, in practical terms.

What happens if the $1.2M Mini is not reached?

“The Seal” remains unbroken: no capital is deployed, no fees are taken and investor funds are returned. Final escrow instructions and offering documents contain the controlling mechanics.

How is the debt retired?

Capital is wired directly to the lender at closing to extinguish the mortgage. The final payoff amount, creditor instructions and closing statement confirm the transaction.

What are the management fees?

The $600,000 allocation covers fees, legal, closing, administration and related costs as a combined category. Specific management fees and expense treatment are established in the definitive documents.

What is the exit timeline?

No fixed exit timeline is presented publicly. Any holding period, liquidity mechanism, transfer restriction or exit process is established by the definitive documents.

Important investor notice

Definitive documents control.

This public information does not constitute an offer to sell or a solicitation of an offer to buy securities. Any offering is made only through the formal confidential offering memorandum and definitive agreements to verified accredited investors. The $5 million maximum is a ceiling and implementation framework, not a representation that all proceeds will be raised or deployed. Real-estate investment involves a high degree of risk. UCC-1 filings do not eliminate real-estate, operating, development, execution, or liquidity risk. Forward-looking projections are estimates based on planning assumptions and may change. Past performance does not indicate future results, and investors may lose some or all of their principal.
